Project Formalisation
- A special purpose vehicle (company) is set up to manage the project.
- Investors sign a legal joint venture and shareholder agreement for the project.
- The SPV exchanges contracts on the asset to be purchased
- All project costs go through the SPV
INVESTMENT SECURITY
How Shares Are Allocated
- Investors receive SPV shares proportional to their total capital contribution to the project.
- The company shareholding secures the amount of profit the investor receives.
- Investors also receive preference shares for funds introduced to the project SPV.
- These preference shares secure the investors principle investment.
RETURN ON INVESTMENT
How Returns Are Allocated
Upon project completion...
- Project Costs: If there are any outstanding project costs, these are paid first.
- Investors Principle: Investors redeem their preference shares to return their initial investment.
- Profit Margin Split: Once project costs are paid the profit is split according to company shareholding.
